GENERAL TERMS AND CONDITIONS TRADOR S.A.R.L - LUXEMBOURG
Article 1 - Definitions
1.1 These General Terms and Conditions shall apply to all offers made by and agreements with Trador S.a.r.l, its legal successors, and associated companies (hereinafter referred to as "Trador S.a.r.l"), relating to the delivery of goods to the party receiving the offer or the other party concerned (hereinafter referred to as "the Customer").
1.2 The applicability of the Customer’s general terms and conditions is explicitly rejected.
1.3 Any deviations from these General Terms and Conditions shall only be valid if explicitly confirmed in writing by Trador S.a.r.l.
Article 2 - Offer
2.1 Any offer made by Trador S.a.r.l shall be non-binding and subject to contract, even if a period for acceptance is stated, unless explicitly confirmed otherwise in writing.
2.2 Submission of a Request for Quote (RFQ) does not constitute a binding commitment on either Trador S.a.r.l or the Customer until an agreement is finalized.
Article 3 - Agreement
3.1 An agreement, including any modifications or additions, shall only be binding upon written confirmation by Trador S.a.r.l or the dispatch of an invoice.
3.2 Any commitments or arrangements made by subordinates of Trador S.a.r.l shall not be binding unless explicitly confirmed in writing.
3.3 The order confirmation by Trador S.a.r.l or its invoice shall be deemed to correctly represent the agreement unless the Customer objects in writing immediately upon receipt.
3.4 Any unilateral cancellation by the Customer shall be invalid unless expressly accepted by Trador S.a.r.l in writing.
Article 4 - Confidentiality
4.1 The Customer shall treat as confidential all business information received from Trador S.a.r.l within the framework of an offer or agreement.
Article 5 - Prices
5.1 Prices stated and/or agreed upon by Trador S.a.r.l are exclusive of VAT, excise duties, and other applicable taxes or levies.
5.2 If goods are destined for delivery within the European market without VAT, the Customer must provide sufficient documentation proving the exemption. Otherwise, VAT will be charged.
5.3 Prices are subject to change based on market conditions, supplier pricing, import/export duties, and currency fluctuations.
Article 6 - Delivery Terms
6.1 Unless otherwise agreed, deliveries shall be made Delivered Duty Unpaid (DDU) from the bonded warehouse of Trador S.a.r.l.
6.2 Delivery periods commence when:
- The agreement is confirmed;
- Trador S.a.r.l has received all required documentation from the Customer;
- Any required prepayment has been received.
6.3 If goods are available in our bonded warehouse, they will be ready for pickup within 3 business days after deposit confirmation.
6.4 For goods that need to be sourced, delivery is generally completed within a maximum of 4 weeks, subject to availability and market conditions. In some cases, delivery may take longer.
6.5 Partial deliveries may be made unless explicitly agreed otherwise.
Article 7 - RFQ and Non-Commitment
7.1 Submitting an RFQ does not constitute a binding agreement between the Customer and Trador S.a.r.l. Both parties remain non-committed until an official agreement is finalized.
7.2 Pricing and availability provided in response to an RFQ are subject to change until confirmed in writing.
7.3 Trador S.a.r.l reserves the right to refuse any RFQ at its sole discretion.
Article 8 - Payment Terms
8.1 For first-time customers: A 10% non-refundable deposit must be placed in escrow. The remaining 90% balance is due after inspection of goods and before final delivery.
8.2 For returning customers: If purchasing directly, a 10% non-refundable deposit is required upfront, with the 90% balance due before loading from the bonded warehouse.
8.3 All payments must be made in EUR unless otherwise agreed in writing.
8.4 Trador S.a.r.l reserves the right to withhold delivery if payment conditions are not met.
Article 9 - Risk and Transfer of Ownership
9.1 The risk of damage or loss shall pass to the Customer immediately upon delivery or pickup.
9.2 Trador S.a.r.l retains ownership of goods until full payment is received.
Article 10 - Transportation
10.1 Goods will be transported at the expense and risk of the Customer, unless agreed otherwise.
10.2 If the Customer fails to take delivery, Trador S.a.r.l reserves the right to store the goods at the Customer’s expense.
Article 11 - Complaints and Returns
11.1 Complaints must be submitted in writing within 24 hours of receiving the goods.
11.2 No returns will be accepted without prior written approval from Trador S.a.r.l.
Article 12 - Force Majeure
12.1 Trador S.a.r.l is not liable for delays caused by force majeure, including supply chain disruptions, strikes, government restrictions, or any event beyond its reasonable control.
Article 13 - Governing Law and Jurisdiction
13.1 These General Terms and Conditions are governed by the laws of Luxembourg.
13.2 Any disputes arising from or related to agreements with Trador S.a.r.l shall be subject to the exclusive jurisdiction of the courts in Luxembourg City
This document represents the official General Terms and Conditions of Trador S.a.r.l. By engaging in any transactions with Trador S.a.r.l, the Customer acknowledges and agrees to these terms.
